Terms of Service

These terms govern your use of the Darko.AI website, software, and services. By using Darko.AI, you agree to these terms.

1. Who We Are

Darko.AI provides software and managed services for local service businesses, including the FieldFlow CRM, LocalRank SEO suite, ReachBot AI agents, SiteForge websites, AutoOps workflow automation, and GrowthOps managed services.

2. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must be at least 18 and authorized to act on behalf of your business. You agree to provide accurate information and keep it current.

3. Subscription and Billing

Most services are subscription-based. By signing up, you authorize us to charge the payment method on file at the published rate, on a recurring basis, until you cancel. Prices are published on darko.ai. We may change pricing with at least 30 days' notice for existing subscribers.

4. Cancellation and Refunds

You can cancel anytime from your account settings or by emailing [email protected]. Cancellation takes effect at the end of your current billing period. We generally do not provide refunds for partial periods. If you believe you were billed in error, contact us within 30 days.

5. Acceptable Use

You agree not to:

• Use the service for unlawful purposes or to harass any party.
• Resell access to the service without a written reseller agreement.
• Reverse-engineer, decompile, or scrape the service beyond what is permitted by law.
• Send spam or unsolicited communications through the service.
• Upload viruses, malware, or otherwise harmful content.
• Interfere with service availability for other users.

6. Your Data

You own the customer data you put into the service. We process it on your behalf as described in our Privacy Policy. You grant us a limited license to host, copy, and display your data solely to provide the service to you.

7. Intellectual Property

Darko.AI, the Darko.AI software, brand, logos, and documentation are our property. You may not copy, modify, or distribute them except as expressly permitted.

8. Service Availability

We work to keep the service available 24/7 but do not guarantee uptime. Scheduled maintenance, third-party outages (Cloudflare, Supabase, Stripe, Twilio, etc.), and unforeseen events may cause interruptions. We are not liable for losses resulting from service unavailability.

9. Disclaimers

The service is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or meet your specific requirements.

10. Limitation of Liability

To the maximum extent permitted by law, Darko.AI's total liability arising from or related to the service is limited to the amounts you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

11. Termination

We may suspend or terminate your account if you violate these terms, fail to pay, or use the service in a way that creates risk for us or other users. We will give reasonable notice when possible.

12. Changes to These Terms

We may update these terms as our services evolve. Material changes will be communicated by email or a prominent notice. Continued use of the service after changes constitutes acceptance.

13. Governing Law

These terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law rules. Any disputes will be resolved in the state or federal courts located in St. Lucie County, Florida.
